Terms and Conditions
All quotations and sales are subject to Cerus’ terms and conditions GOVERNING PROVISIONS AND ACCEPTANCE: Acceptance of an order by Cerus shall be expressly conditioned on Purchaser’s assent to these conditions. Once an order is accepted by Cerus, Purchaser may not cancel the order without Cerus’ consent, which may be given or not in Cerus’ sole discretion. These terms are a complete statement of the parties’ agreement and may only be modified in writing signed by both parties. Failure to object to provisions contained in any Purchase Order or other communication from the Purchaser (including, without limitation, penalty clauses of any kind) shall not be construed as a waiver of these Conditions nor an acceptance of any other provisions. These terms may not be modified by course of dealing, course of performance or usage of trade. These terms supersede all previous written or oral quotations, statements or agreements. Any contract for sale by and between the parties shall be governed by and construed according to the laws of the State of Oregon without regard to its rules on the conflict of laws. The Convention on the International Sale of Goods is expressly excluded. All orders are subject to acceptance by Cerus. PRICE POLICY: All prices are subject to change without notice. All clerical errors are subject to correction. Written quotations shall be valid for no more than thirty (30) days from their date. Quotations are subject to change by Cerus with notice to Purchaser. TERMS OF PAYMENT: Acceptance of all Purchase Orders is subject to Purchaser meeting Cerus credit standards. Terms are subject to change for failure to meet such standards. Terms are net thirty (30) days from date of invoice of each shipment, unless otherwise stated in Cerus’ quotation. Past due accounts are subject to 1.5% per month interest charge, plus any attorneys fees and other costs associated with collections. DELIVERY: Product is sold F.O.B. Portland Oregon. Delivery by Cerus to the point of shipment constitutes delivery to the Purchaser; and title and all risk of loss or damage in transit shall pass to the Purchaser at time of delivery at the F.O.B. point. Cerus is not responsible for breakage after having received “in good order” receipts from the carrier. Purchaser is responsible for pursuing any damage claims with the carrier. FORCE MAJEURE: Cerus shall not be liable for any damages as a result of any delays due to any causes beyond Cerus’ control, including, without limitation, an act of God; act of Purchaser or Cerus supplier; embargo or other governmental act; regulation or request; fire; accident; strike; slowdown; flood; fuel or energy shortage; sabotage; war; riot; delay in transportation and inability to obtain necessary labor, materials or manufacturing facilities from usual sources. In the event of any such delay, the date of delivery shall be extended for a period of time reasonably necessary to overcome the effect of such delay. PURCHASER’S ACKNOWLEDGEMNT OF COMPLIANCE AND SAFE PRACTICES: To the extent that Purchaser installs or operates the Products, Purchaser agrees to follow all applicable local and national codes. It is Purchasers responsibility to determine which codes should be followed, and to verify that the equipment, installation and operation are in compliance with the latest revision of these codes. Compliance with OSHA and other federal, state or local laws during the operation or use of the product(s) is the sole responsibility of the Purchaser. All applicable sections of the National Fire Code, National Electrical Code, and the codes of the National Electrical Manufacturers Association (NEMA) should be adhered to with respect to equipment. There may be additional local regulatory or government offices that determine applicable codes and standards necessary for safe installation and operation. Purchaser agrees to use appropriate documentation for installation, operation, and troubleshooting for equipment. This documentation typically accompanies the product and purchaser should not rely on diagrams and other information found in marketing brochures and website. PRODUCTS NOT FOR USE IN HAZADOUS LOCATIONS: Cerus products are not fault tolerant and are not designed, manufactured, or intended for use or resale in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communications systems, air traffic control, life support, or weapons systems, in which the failure of the product could lead directly to death, personal injury, or severe physical, environmental, or property damage. PRODUCT NOTICES: Purchaser shall promptly supply the user (including its employees) of the product with all Cerus supplied product notices, warnings, instructions, recommendations and similar materials. CANCELLATION: Cerus shall have the right to cancel any order or contract at any time by written notice for any material breach of the contract. PRODUCT MODIFICATIONS: Product features and specifications may be revised by Cerus to incorporate development changes where such changes do not adversely affect the price, delivery, guaranteed performance of the Products.

Warranty
Cerus warrants equipment manufactured by it and sold through authorized sales channels to be free from defects in materials and workmanship from date of invoice by Cerus or its authorized sales channel as follows: 5 Year Warranty: Magnetic Contactors, Electronic Overloads, and Molded Case Circuit Breakers, P Series Drives in Variable Torque Applications. 18 Month Warranty: All other products. This warranty is non-transferable and is applicable only to the original purchaser. If within such period any applicable equipment shall be proved to Cerus’ satisfaction to be non-conforming, such equipment shall be repaired or replaced at Cerus option. This is the exclusive remedy for any breach of warranty. This warranty shall not apply (a) to equipment not manufactured by Cerus, (b) to equipment that has been repaired or altered by other than Cerus so as, in its judgment, to affect the same adversely, or (c) to equipment that has been subjected to negligence, accident, or damage by circumstances beyond Cerus’ control, or improper installation, operation, maintenance or storage, or to other than normal use or service within rated electrical and mechanical endurance specifications for equipment. Warranty does not cover items that wear with use which require periodic maintenance or replacement; including but not limited to drive fans, drive capacitors and terminals. Specific maintenance for each product must follow Cerus recommended practice as detailed in the product user manuals. Failure to properly follow maintenance procedures including, failure to replace wear items as specified in the user manual may void warranty. Non-conforming products must be returned at Cerus’ expense for evaluation unless this is waived in writing. Replacement products may be new or reconditioned. The foregoing warranties do not cover reimbursement for labor, transportation, removal, installation, temporary power, or any other expenses that may be incurred in connection with repair or replacement. These disclaimers and limitations of remedies apply to all warranties offered to Purchaser and to all Purchase Orders. THE WARRANTIES SET FORTH ABOVE ARE EXCLUSIVE AND IN LIEU OF ALL OTHER EXPRESSED OR IMPLIED WARRANTIES (EXCEPT WARRANTIES OF TITLE), INCLUDING, BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Except as may be expressly provided in an authorized writing by Cerus , Cerus shall not be subject to any other obligations or liabilities whatsoever, other than as stated above with respect to equipment sold or services rendered by Cerus . Notwithstanding anything to the contrary herein contained CERUS, ITS CONTRACTORS AND SUPPLIERS OF ANY TIER, SHALL NOT BE LIABLE IN CONTRACT, IN TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE FOR LOST TIME, LOST PROFITS, OR SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER. THE REMEDIES OF THE PURCHASER ARE EXCLUSIVE AND THE TOTAL CUMULATIVE LIABILITY OF CERUS, ITS CONTRACTORS AND SUPPLIERS OF ANY TIER, WITH RESPECT TO THIS CONTRACT OR ANYTHING DONE IN CONNECTION THEREWITH, SUCH AS THE USE OF ANY PRODUCT COVERED BY OR FURNISHED UNDER THE CONTRACT, WHETHER IN CONTRACT, IN TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE, SHALL NOT EXCEED THE PRICE OF THE PRODUCT, PART, OR SERVICE ON WHICH SUCH LIABILITY IS BASED. RETURN OF EQUIPMENT Warranty Returns: Contact Cerus for a Return Material Authorization (RMA) regarding equipment under warranty. Non-warranty Returns: Products returned for restock are subject to a 30% charge (except for 45 day money-back returns or evaluation orders). Non-standard products (including those having electrical modifications or private labeling) may not be returned, except for warranty service. Acceptance of products for restock is at Cerus’ sole discretion.

Cerus Industrial Distribution Agreement Between: Distributor: _______________________ _______________________ _______________________ (“Distributor”) Cerus Industrial Corporation and 22995 NW Evergreen Parkway Hillsboro, Oregon 97214 (“Cerus”) Dated: _____________________ Territory: __________________________ __________________________ The terms of Exhibit A and B are incorporated by reference. Cerus has the right to amend Exhibits A and B at any time by written notice to Distributor, but such amendment shall apply only to orders occurring after such amendment.

1. APPOINTMENT OF DISTRIBUTOR Cerus is engaged in the design, manufacture, importation, and sale of industrial automation products ("Products") shall those products substantially stipulated which are listed in Exhibit A attached hereto. Cerus desires to appoint Distributor, and Distributor desires to accept such appointment. In consideration for acceptance of this agreement, , as a distributor of Products in the Territory. the Distributor can purchase Products from Cerus at a the prices as listed in Exhibit A.

2. DUTIES OF DISTRIBUTOR Distributor shall (a) Use best efforts to develop the maximum sales potential in its market area, as well as promote the goodwill of Cerus; (b) Maintain adequate inventory to meet requirements of customers in a timely manner; and (c) Upon request, provide Cerus with a report on sales activity in the Territory and potential sales opportunities.

3. DUTIES OF COMPANYCERUS CompanyCerus shall (a) Provide Distributor with copies of its current applicable price lists, delivery schedules and standard terms and conditions for the sale of the Products, as established from time to time; and (b) CompanyUse commercially reasonable efforts consistent with its other demands and business to meet all purchase orders for the Products received through or from Distributor, provided, however, nothing contained herein shall impose upon CompanyCerus any obligation to accept or fulfill any purchase order in any case where CompanyCerus considers it inconvenient, impractical, or not feasible to do so or entitle Distributor to accept any purchase order on behalf of CompanyCerus. Refusal by Company of any purchase order in whole or in part shall not incur any liability to Distributor, its officers or employees or any other person. Until the purchase order of a prospective customer shall have been accepted in writing by Company, Company shall have no obligation to deliver the Products or otherwise perform under such purchase order. CONFIDENTIALITY Any information, suggestions or ideas transmitted by either party to the other party in connection with performance of this Agreement are to be regarded as secret or submitted in confidence. Except as may be otherwise provided by an agreement in writing signed by the authorized representatives of the parties, neither party, nor any officer, director, partner, agent or employee of a party, shall disclose any such information to any third party or to the public. Cerus actively responds to customer input to create new products and inventions. If at any time during the term of this Agreement, either party discovers or comes into possession of any improvements or further inventions relating to the Products or their design, manufacture, use or sale, such improvements or further inventions shall be exclusively owned by Cerus and shall not be used or disclosed by Distributor without prior written consent of Cerus. INDEMNIFICATION The Distributor will indemnify, defend, and hold the Cerus harmless from and against all claims, demands, causes of action (including third-party claims, demands, and causes of action, whether directly or for contribution or indemnification), losses, damages, expenses (including attorney's fees), and liabilities of every kind and nature (each a "Claim") asserted by any person that arises out of or results from any one or more of the following with respect to products sold to Purchaser by the Cerus: (a) any breach by any manufacturer of any of its representations, warranties, or covenants; (b) without limiting the preceding, any defective product, whether such defect is one of design or manufacture; (c) any recall of any product, regardless of who initiates the product recall; and (d) any negligent act or omission by a manufacturer. Purchaser's duty to indemnify the Cerus will apply whether the Claim arises under theories of tort, contract, warranty, strict liability, product liability, statute, or otherwise. To the extent that the Cerus incurs any loss for death, personal injury, or loss of property to unrelated third parties, whether during any warranty period or after its expiration, in connection with any products or services, Purchaser will indemnify, defend, and hold the Cerus harmless from and against such loss, notwithstanding the expiration of the warranty period, the amount of insurance to be carried by the manufacturer, or any other limitation. This indemnity applies except to the extent that the Claim arises out of the sole negligence or willful misconduct of the Cerus.

4. TRADEMARK USAGE DURING THE TERM OF THIS AGREEMENT, CERUS HEREBY GRANTS TO DISTRIBUTOR, A NON-EXCLUSIVE LICENSE TO USE THE CERUS TRADEMARKS FOR THE PURPOSE OF SALES AND PROMOTION IN THE TERRITORY. WHEN DISTRIBUTOR USES THE CERUS TRADEMARKS, IT SHALL INDICATE CLEARLY THAT THE CERUS TRADEMARKS ARE OWNED BY CERUS OR ITS AFFILIATES. DISTRIBUTOR RECOGNIZES THAT ANY OF THE CERUS TRADEMARKS, TRADE NAMES, DESIGNS, COPYRIGHTS AND OTHER PROPRIETARY RIGHTS, USED ON OR EMBODIED IN PRODUCTS (“PROPRIETARY RIGHTS”) SHALL REMAIN THE EXCLUSIVE PROPERTY OF CERUS. DISTRIBUTOR SHALL NOT HAVE OR ACQUIRE ANY RIGHT, TITLE OR INTEREST IN PROPRIETARY RIGHTS. DURING THE TERM OF THIS AGREEMENT OR EVEN AFTER TERMINATION, DISTRIBUTOR SHALL NOT (A) USE THE CERUS TRADEMARKS OR SIMILAR TRADEMARKS ON ANY COMPANY’S PRODUCTS (OTHER THAN CERUS’); (B) DIRECTLY OR INDIRECTLY APPLY FOR THE REGISTRATION OF THE CERUS TRADEMARKS OR ANY OTHER TRADEMARK SIMILAR THERETO WITH RESPECT TO PRODUCTS OR ANY OTHER MATERIALS IN ANY COUNTRY OF THE WORLD OR APPLY FOR THE REGISTRATION OF ANY TRADE NAME INCLUDING “CERUS”, “CERUS INDUSTRIAL”, “TITAN”, “ORION” AND RELATED LOGO ARTWORKS, “ ” OR ITS TRANSLATION INTO ANY LANGUAGE. DISTRIBUTOR MAY, WITH THE PRIOR WRITTEN CONSENT OF CERUS, INDICATE THAT IT IS AN AUTHORIZED DISTRIBUTOR OF PRODUCTS. UPON TERMINATION OF THIS AGREEMENT FOR ANY CAUSE, DISTRIBUTOR SHALL CEASE HOLDING ITSELF OUT AS A DISTRIBUTOR OF THE PRODUCTS AND CEASE USING, IN ANY WAY, CERUS’ NAME, OR ITS PROPRIETARY RIGHTS OR ANY MATERIAL SIMILAR THERETO. DISTRIBUTOR SHALL NOT ALTER, DEFACE, REMOVE, COVER OR MUTILATE IN ANY MANNER THE CERUS TRADEMARKS, SERIAL OR MODEL NUMBERS, BRAND, OR CERUS’ NAME ATTACHED OR AFFIXED TO ANY OF PRODUCTS. ANY GOODWILL GENERATED FROM USE OF THE CERUS TRADEMARKS SHALL INURE TO THE BENEFIT OF CERUS. SPECIAL ORDERS Cerus endeavors to provide outstanding customer service. To this end, Cerus will respond to distributor’s requirements for special ordering requirements in terms of both customization and quantity whenever practical. In cases in which Distributor is primary consumer of said special products, cancellation of such orders and/or return of said products shall be a the sole discretion of Cerus. In the event of cancellation or delay, storage, restocking, and/or cancellation fees may apply.

5. TERM & TERMINATION This Agreement shall continue for one (1) year commencing on the date of this Agreement and shall be extended for successive one (1) year terms thereafter, unless either party shall give to the other at least sixty (60) days prior written notice of its intention to terminate this Agreement upon the expiration of the present term of this Agreement. In addition, either party may terminate this Agreement at any time and for any reason upon ninety (90) days prior written notice of termination to the other. In the event of termination, Distributor agrees to make payment for and take delivery of Products ordered prior to the effective date of termination. for which Distributor is primary consumer of said Products, in cases where inventory is not consumed by Distributor during 60 day termination notification period.In case either party shall breach any terms contained in this Agreement, the other party may give to such breaching party a written notice of such default, and if such breaching party does not effect an adequate cure thereof within thirty (30) days after the date of such notice, the aggrieved party may terminate this Agreement by dispatching a termination notice, such termination taking effect upon the expiration of such thirty (30) days grace period or upon such later date specified in the notice. Despite such termination, the defaulting party shall be and remain liable to the aggrieved party as to damages resulting from such default. This Agreement may be terminated immediately by either party upon occurrence of any of the following events: a)Insolvency of the other party or filing by or against the other party for voluntary or involuntary petition of bankruptcy or for corporate reorganization or for any similar relief or the execution of an assignment by the other party for the benefit of creditors or appointment of a receiver of the other party for any reason. b)The other party's voting stock is transferred to any third party to such extent as to result in a change in effective control of Cerus or its ownership or active management is changed in any other manner. c)Distributors’ inability to purchase Products at commensurate with commitments in Exhibit A, if specified. The termination of this Agreement shall be without prejudice to the rights of either party to payment or other claims due or accrued up to the termination of this Agreement. Terms of confidentiality and indemnification shall survive termination of this agreement. For a period of (18) months after expiration or termination of this agreement for any reason, representative Purchaser will not, directly or indirectly, enter into any agreement or other arrangement with LG Industrial Systems (“LGIS”) or any companyCompany affiliated with LGIS for the promotion, marketing, advertising, offering, sales, or distribution of any products developed or manufactured by LGIS. (LGIS is LG Industrial Systems) 6.

6. SEVERALBILITY Should any provision hereof nevertheless be or become invalid, illegal or unenforceable under any applicable law, the other provisions hereof shall not be affected, and to the extent permissible under applicable law, any such invalid, illegal or unenforceable provision shall be deemed amended lawfully to conform to the intent of the parties hereto.

NON-ASSIGNABILITY This Agreement shall not be assigned or transferred by either party without the written consent of the other, except to a successor in ownership of all or substantially all of the assets of the assigning or transferring party, and which successor shall expressly assume in writing the performance of all the terms and conditions of this Agreement to be performed by the assigning or transferring party.

ENTIRE AGREEMENT AND MODIFICATION This Agreement constitutes the entire understanding of the parties relating to the subject hereof and supersedes all other previous agreements and understandings, whether written or oral.

DOES CERUS INDUSTRIAL SHARE THE INFORMATION IT RECEIVES?

Information about our customers is an important part of our business, and we are not in the business of selling it to others. We share customer information only as described below and with subsidiaries Cerus Industrial, Inc. controls that either are subject to this Privacy Notice or follow practices at least as protective as those described in this Privacy Notice.

Agents:
We employ other companies and individuals to perform functions on our behalf. Examples include fulfilling orders, delivering packages, sending postal mail and e-mail, removing repetitive information from customer lists, analyzing data, providing marketing assistance, providing search results and links (including paid listings and links), processing credit card payments, and providing customer service. They have access to personal information needed to perform their functions, but may not use it for other purposes.

Promotional Offers:
Sometimes we send offers to selected groups of Cerus Industrial customers on behalf of other businesses. When we do this, we do not give that business your name and address. If you do not want to receive such offers, please adjust Your Profile Preferences.

Business Transfers:
As we continue to develop our business, we might sell or buy subsidiaries, or business units. In such transactions, customer information generally is one of the transferred business assets but remains subject to the promises made in any pre-existing Privacy Notice (unless, of course, the customer consents otherwise). HOW SECURE IS INFORMATION ABOUT ME?

We work to protect the security of your information during transmission by using Secure Sockets Layer (SSL) software, which encrypts information you input.

We reveal only the last five digits of your credit card numbers when confirming an order. Of course, we transmit the entire credit card number to the appropriate credit card company during order processing.

It is important for you to protect against unauthorized access to your password and to your computer. Be sure to sign off when finished using a shared computer.

Automatic Information
